These Partner Terms & Conditions (“Partner Terms”) govern the use of Boca2Boca by businesses, organizations, venues, brands, event organizers, factories, lounges, restaurants, hotels, tourism businesses, and other professional users that create a business account or purchase a Boca2Boca Partner plan.

By creating a Partner account, publishing business information, or purchasing a paid Partner subscription, you agree to these Partner Terms.

1. About the Boca2Boca Partner Platform

Boca2Boca provides digital tools that allow eligible businesses and organizations (“Partners”) to create and manage their presence on the Boca2Boca platform.

Depending on the selected plan, Partners may receive access to features such as:

  • a Partner account and dashboard;

  • business or organization profile management;

  • event publishing and management;

  • uploading photos, logos, descriptions, and other business information;

  • management of contact and business details;

  • customer inquiry and lead management;

  • review and feedback tools;

  • analytics and reporting;

  • content management functionality;

  • enhanced profile functionality;

  • business discovery tools; and

  • other digital features made available by Boca2Boca.

The exact features included depend on the Partner plan displayed on the applicable pricing or subscription page.

2. Nature of the Partner Subscription

A Boca2Boca Partner subscription is a payment for access to Boca2Boca's digital platform, account functionality, and software tools.

A Partner subscription does not constitute payment for, and does not include:

  • cigars or tobacco products;

  • alcohol;

  • food or beverages;

  • tours;

  • travel services;

  • transportation;

  • hotel accommodation;

  • event tickets;

  • physical products;

  • sponsorship packages;

  • manufacturing services; or

  • products or services sold by another Partner.

Any transaction between a Partner and a customer outside the Boca2Boca subscription is separate from the Partner's subscription to Boca2Boca.

Partners may not use Boca2Boca's subscription payment system to process payment for prohibited or unrelated products or services.

3. Partner Eligibility

To create a Partner account, you represent that:

  • you are at least 18 years old;

  • you are authorized to represent the business or organization;

  • the business information you provide is accurate;

  • your business operates lawfully;

  • you hold any licenses, permits, registrations, or authorizations required for your activities; and

  • you have the legal right to publish all information and content submitted to Boca2Boca.

Boca2Boca may request verification of the Partner, business, organization, ownership, or authorization to manage a listing.

Boca2Boca may reject, suspend, or remove an account if adequate verification cannot be provided.

4. Partner Account Information

Partners are responsible for keeping their account and business information accurate and current.

This includes, where applicable:

  • business name;

  • address;

  • contact information;

  • website;

  • opening hours;

  • prices;

  • event information;

  • services;

  • business descriptions;

  • photographs;

  • availability; and

  • other information published through the platform.

Partners must not intentionally publish false, outdated, deceptive, or misleading information.

5. Partner Plans and Pricing

Available Partner plans, prices, billing periods, features, and limitations are displayed on the relevant Boca2Boca pricing or subscription page.

Partners are responsible for reviewing the applicable plan before purchasing.

Prices may vary depending on:

  • plan level;

  • billing period;

  • included functionality;

  • promotional offers; or

  • additional services.

Boca2Boca may change pricing or plan features for future purchases or renewals.

Where required, existing subscribers will be notified before a material pricing change affects their next renewal.

6. Subscription Billing

Paid Partner plans may be offered as recurring subscriptions.

The billing frequency, subscription price, taxes, and renewal terms are displayed before checkout.

Unless cancelled before the next billing date, recurring subscriptions may automatically renew for the same billing period.

Partners authorize the applicable payment provider to charge the selected payment method for recurring payments according to the subscription terms presented at checkout.

7. Paddle Payments

Boca2Boca may use Paddle to process eligible Partner software subscription payments.

Where Paddle processes a transaction as Merchant of Record, the purchase may also be subject to Paddle's applicable buyer terms and payment policies.

Paddle may handle:

  • payment processing;

  • applicable sales taxes or VAT;

  • invoices;

  • payment receipts;

  • subscription billing; and

  • approved payment refunds.

Paddle is used only for eligible Boca2Boca digital Partner subscription services.

Boca2Boca does not use Paddle Partner subscription checkout to sell cigars, tobacco products, tours, travel services, event tickets, transportation, physical goods, or other third-party services.

8. Automatic Renewal

If a Partner purchases a recurring subscription, the subscription will automatically renew according to the billing period shown at checkout unless cancelled before renewal.

The renewal charge will normally be based on the price applicable to the subscription at that time, subject to any required notice of pricing changes.

Partners are responsible for managing their active subscriptions.

9. Cancellation

Partners may cancel future subscription renewals using the available subscription management tools or customer billing portal.

Cancellation normally prevents the next renewal charge.

Unless otherwise stated, cancellation does not immediately terminate access to paid Partner functionality.

The Partner may continue using the paid service until the end of the already-paid billing period.

Deleting or disabling a Partner profile does not automatically cancel an active subscription.

10. Refunds

Refunds are governed by the separate Boca2Boca Refund Policy and any mandatory consumer rights that apply.

Unless required by law or expressly stated otherwise, subscription payments are generally not refundable for:

  • unused subscription time;

  • failure to use Partner features;

  • lack of leads or customer inquiries;

  • lack of business results;

  • removal of content that violated these Partner Terms; or

  • cancellation after a renewal has already been processed.

Nothing in these Partner Terms removes any refund or cancellation right that cannot legally be waived.

11. No Guaranteed Business Results

Boca2Boca provides software and digital business tools.

Boca2Boca does not guarantee:

  • leads;

  • reservations;

  • customers;

  • sales;

  • revenue;

  • profile views;

  • website traffic;

  • event attendance;

  • search engine rankings;

  • social media exposure;

  • partnerships; or

  • any minimum commercial result.

Results may vary significantly between Partners.

12. Business Profiles and Listings

Partners may use available software tools to publish information about their businesses and activities.

Publication of a Partner profile does not mean that Boca2Boca:

  • owns the Partner's business;

  • operates the Partner's business;

  • guarantees the Partner;

  • guarantees its services;

  • verifies every statement published by the Partner; or

  • accepts responsibility for services delivered by the Partner.

Boca2Boca may identify some accounts as verified where a verification process has been completed, but verification does not constitute a guarantee of service quality.

13. Partner Content

Partners retain ownership of content they provide to Boca2Boca.

By submitting content, the Partner grants Boca2Boca a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, format, resize, translate, distribute, and otherwise use the content where reasonably necessary to:

  • operate Boca2Boca;

  • display the Partner's profile;

  • display Partner events;

  • create previews;

  • operate search and discovery features;

  • promote content published on Boca2Boca;

  • publish Boca2Boca social media content;

  • improve the platform; and

  • market Boca2Boca and content available through Boca2Boca.

Partners confirm that they have sufficient rights to grant this license.

14. Photos, Videos, Logos, and Trademarks

Partners must only upload photographs, videos, logos, trademarks, graphics, and other media they own or are authorized to use.

Partners are responsible for obtaining any required:

  • copyright permission;

  • trademark permission;

  • photographer permission;

  • model releases;

  • venue permission; or

  • other third-party consent.

Boca2Boca may remove media following a credible intellectual property complaint.

15. Prohibited Content and Activity

Partners may not use Boca2Boca to publish or promote content that:

  • violates applicable law;

  • is fraudulent or deceptive;

  • falsely represents a business;

  • infringes intellectual property rights;

  • violates privacy rights;

  • contains malicious software;

  • promotes illegal goods or services;

  • facilitates criminal activity;

  • contains intentionally misleading pricing or availability;

  • manipulates reviews;

  • impersonates another person or company;

  • attempts unauthorized access to Boca2Boca systems; or

  • creates unreasonable legal, security, financial, or reputational risk for Boca2Boca.

Boca2Boca may remove prohibited content without prior notice where reasonably necessary.

16. Tobacco-Related Businesses

Boca2Boca includes informational content relating to cigar factories, cigar brands, cigar lounges, cigar events, and the tobacco industry.

A Boca2Boca Partner subscription is a digital platform subscription.

Boca2Boca does not sell tobacco products through the Partner subscription service.

A tobacco-related Partner is independently responsible for compliance with:

  • minimum-age requirements;

  • tobacco advertising restrictions;

  • local licensing requirements;

  • sales restrictions;

  • labeling requirements;

  • import and export regulations; and

  • other laws applicable to its activities.

Partners may not use the Boca2Boca Partner subscription checkout to process tobacco product purchases.

17. Alcohol-Related Businesses

Partners connected with restaurants, bars, lounges, tastings, rum producers, whiskey producers, or similar businesses are independently responsible for complying with applicable alcohol licensing, advertising, age, sale, and consumption laws.

Boca2Boca's Partner subscription does not include the sale of alcoholic beverages.

18. Tours and Travel Businesses

Tour operators, guides, transportation providers, hotels, factories offering visits, and other travel-related businesses may publish eligible informational content where permitted by Boca2Boca.

Each Partner remains solely responsible for its own services, including:

  • licenses;

  • insurance;

  • safety;

  • transportation;

  • customer agreements;

  • availability;

  • cancellations;

  • service quality; and

  • refunds relating to services sold directly by that Partner.

A Boca2Boca Partner subscription itself does not constitute the purchase of a tour or travel service.

19. Events

Partners may be able to create and publish events using Boca2Boca.

Partners are responsible for ensuring event information is accurate, including:

  • dates;

  • times;

  • locations;

  • ticket information;

  • performers;

  • sponsors;

  • age restrictions;

  • cancellation information; and

  • organizer details.

Boca2Boca does not guarantee that an event will take place as advertised.

Unless explicitly stated otherwise, event organizers remain responsible for their events.

20. Leads and Inquiries

Boca2Boca may provide tools allowing visitors to submit inquiries to Partners.

Partners authorize Boca2Boca to send relevant inquiry information to them.

The Partner is responsible for responding to the visitor and for any subsequent relationship or transaction.

Boca2Boca does not guarantee the identity, intent, financial capacity, or authenticity of every person who submits an inquiry.

21. Reviews and Feedback

Where Boca2Boca provides review or feedback functionality, Partners must not:

  • submit fake reviews;

  • purchase fake reviews;

  • impersonate customers;

  • pressure customers to leave misleading reviews;

  • offer undisclosed compensation for positive reviews; or

  • attempt to manipulate ratings.

Boca2Boca may remove reviews where there is reasonable evidence of fraud, abuse, spam, or violation of applicable rules.

22. Search, Discovery, and Visibility

Boca2Boca determines how Partner information appears within the platform.

A paid Partner subscription does not guarantee a specific position or ranking.

Boca2Boca may organize or rank content according to factors such as:

  • relevance;

  • geographic location;

  • profile completeness;

  • content quality;

  • freshness;

  • user interest;

  • subscription functionality;

  • editorial considerations; and

  • technical factors.

Boca2Boca may modify its discovery and ranking systems at any time.

23. Account Security

Partners are responsible for protecting their login credentials.

Partners must notify Boca2Boca promptly if they believe their account has been compromised.

Partners are responsible for activity performed through their account unless caused by a failure within Boca2Boca's own systems.

24. Account Suspension

Boca2Boca may temporarily suspend or restrict an account where reasonably necessary due to:

  • suspected fraud;

  • account compromise;

  • violation of these Partner Terms;

  • unlawful activity;

  • repeated misleading content;

  • abuse of users;

  • unpaid subscription charges;

  • security risks; or

  • misuse of the platform.

Where appropriate, Boca2Boca may request additional information before restoring an account.

25. Account Termination

Boca2Boca may terminate a Partner account for serious or repeated violations of these Partner Terms.

Where reasonably possible, Boca2Boca may notify the Partner and allow an opportunity to correct a violation before permanent termination.

Immediate termination may occur in cases involving fraud, illegal activity, security threats, or serious abuse.

Termination does not cancel payment obligations already incurred.

26. Changes to Partner Features

Boca2Boca is an evolving software platform.

Features may occasionally be:

  • added;

  • improved;

  • redesigned;

  • replaced;

  • limited; or

  • discontinued.

Boca2Boca will make reasonable efforts to avoid materially reducing the core functionality of an active paid plan without appropriate notice.

Minor product changes, interface changes, technical improvements, and experimental features may occur without advance notice.

27. Platform Availability

Boca2Boca does not guarantee continuous or uninterrupted availability.

Temporary interruptions may result from:

  • maintenance;

  • software deployments;

  • infrastructure problems;

  • third-party services;

  • security incidents;

  • internet outages; or

  • events outside Boca2Boca's reasonable control.

Boca2Boca may temporarily disable functionality where reasonably required for maintenance or security.

28. Third-Party Services

Boca2Boca may rely on third-party services for functions including:

  • payment processing;

  • hosting;

  • email;

  • authentication;

  • cloud storage;

  • analytics;

  • maps;

  • content delivery; and

  • other infrastructure.

Boca2Boca is not responsible for temporary failures caused solely by third-party systems outside its reasonable control.

29. Intellectual Property

Except for Partner-owned content, Boca2Boca owns or licenses the platform's software, design, code, databases, branding, layout, original content, and related intellectual property.

Partners may not, without authorization:

  • copy the platform;

  • resell platform access;

  • reverse engineer the software;

  • scrape the platform at unreasonable scale;

  • reproduce Boca2Boca branding;

  • create unauthorized derivative services; or

  • use Boca2Boca intellectual property outside the rights granted through the Partner service.

30. Privacy

Boca2Boca processes personal information in accordance with its Privacy Policy.

Partners must also comply with applicable privacy and data protection laws when receiving or processing customer information through Boca2Boca.

Partners may only use customer information received through Boca2Boca for legitimate business purposes related to the customer's inquiry, request, booking, or relationship with the Partner.

Partners must not sell or improperly distribute customer personal data.

31. Limitation of Liability

To the maximum extent permitted by applicable law, Boca2Boca will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from use of the Partner platform.

Boca2Boca is not responsible for:

  • the conduct of customers;

  • transactions made directly between Partners and customers;

  • Partner business losses;

  • cancelled events;

  • unsuccessful promotions;

  • third-party services;

  • incorrect information supplied by a Partner; or

  • products or services delivered by a Partner.

Where Boca2Boca is found liable for a claim directly relating to a paid Partner subscription, Boca2Boca's aggregate liability will not exceed the total subscription fees paid by that Partner during the twelve months preceding the event giving rise to the claim, except where such limitation is prohibited by law.

32. Indemnification

To the extent permitted by applicable law, the Partner agrees to indemnify and hold Boca2Boca harmless against third-party claims resulting from:

  • content submitted by the Partner;

  • infringement of third-party rights;

  • the Partner's products or services;

  • unlawful activity by the Partner;

  • inaccurate representations made by the Partner; or

  • the Partner's violation of these Partner Terms.

33. Changes to These Partner Terms

Boca2Boca may update these Partner Terms as the platform, business model, or legal requirements evolve.

The current version will be published on Boca2Boca with its effective date.

Where a material change significantly affects an active paid subscription, Boca2Boca will provide notice where reasonably required.

34. Governing Law

These Partner Terms are governed by the laws applicable to [LEGAL BUSINESS NAME] in the Dominican Republic, subject to any mandatory rights that cannot legally be excluded.

35. Entire Agreement

These Partner Terms, together with the applicable Partner pricing page, Refund Policy, Privacy Policy, and any terms presented during checkout, form the agreement governing use of the paid Boca2Boca Partner service.

If there is a conflict between these Partner Terms and specific subscription terms displayed at checkout, the specific checkout terms will apply to that transaction to the extent of the conflict.
